1. Acceptance of Terms

By accessing or using the Memento Blooms platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. These terms constitute a legally binding agreement between you and Memento Blooms Pty Ltd, a company registered in New South Wales, Australia.

2. Description of Service

Memento Blooms provides a corporate flower gifting service that connects businesses with trusted local florists across Sydney and the Central Coast. Our Service enables you to schedule flower deliveries for employee birthdays, work anniversaries, promotions, and other occasions.

3. Account Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities that occur under your account.
• You must notify us immediately of any unauthorised use of your account.

4. Orders and Delivery

• All orders are fulfilled by independent local florist partners in Sydney.
• We strive for same-day delivery within the Sydney metropolitan area for orders confirmed by 12:00 PM AEST.
• Flower arrangements may vary slightly from images due to seasonal availability. Our florists will substitute with blooms of equal or greater value.
• Delivery is considered complete when flowers are left at the specified delivery address. If the recipient is unavailable, flowers will be left in a safe location.

5. Pricing and Payment

• All prices are listed in Australian Dollars (AUD) and include GST.
• Pricing is per arrangement and includes delivery within the Sydney metropolitan area.
• Payment is processed at the time of order confirmation.
• We reserve the right to update pricing with 30 days notice to existing customers.

6. Cancellations and Refunds

• Orders may be cancelled free of charge up to 24 hours before the scheduled delivery date.
• Cancellations within 24 hours of delivery may incur a preparation fee.
• If you are unsatisfied with a delivery, contact us within 48 hours and we will arrange a replacement or refund at our discretion.
• Refunds are processed within 5-10 business days to the original payment method.

7. Recipient Data

You confirm that you have the authority and necessary consent to provide recipient personal information (names, dates, addresses) to our platform. You are responsible for ensuring this data is accurate and up to date. Refer to our Privacy Policy for details on how we handle this data.

8. Limitation of Liability

To the maximum extent permitted by Australian Consumer Law, Memento Blooms shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our Service. Our total liability shall not exceed the amount paid by you for the specific order in question.

9. Intellectual Property

All content on the Memento Blooms platform, including text, graphics, logos, and software, is the property of Memento Blooms and is protected by Australian and international intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of New South Wales.

11. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
